As private-market businesses become more complex, their conflicts systems need to keep pace.
The UK Financial Conduct Authority published findings on October 23 from a multi-firm review covering private equity, private credit and real estate.
The review examined how firms identify, manage, mitigate and disclose conflicts. Its findings address governance and oversight, transaction structures and the treatment of investors. They are supervisory findings, not a blanket enforcement decision against every firm reviewed. FCA: private-market conflicts review.
Supervisory findings and governance
The FCA identified the importance of stronger controls where firms operate across multiple funds, asset classes and investor groups. Effective practices included comprehensive records, clear responsibilities and established escalation routes; weaker approaches relied more heavily on informal processes and individual judgment. For fund counsel, the practical question is whether the conflicts framework reflects the transactions the business now undertakes.
A policy developed for a simpler structure may not adequately address transfers between related funds, different investor interests or information moving between teams.
Test the actual transaction
The review therefore supports a transaction-level exercise. Who benefits from the decision? Who bears its costs? Who approves it, and what information do they receive?
Disclosure also needs to be assessed for its practical usefulness. A broad statement that conflicts may arise does little to explain a particular decision or establish how it was managed.
For Canadian firms with UK-regulated operations, the findings warrant attention within the applicable regulatory framework. Other Canadian businesses can use the review as a comparative governance resource without assuming that every UK requirement applies domestically.
A practical review of the framework
The most useful response is to test the documented system against a recent complicated transaction. That can reveal whether approvals, records and escalation work as intended.
A conflicts policy earns its value when competing interests reach the same decision table.
