Enterprise software contracts can shape an organization’s choices for years. Britain’s competition regulator is examining the market conditions surrounding those choices.
The Competition and Markets Authority has proposed designating Microsoft with strategic market status in its business-software ecosystem. It has also published a roadmap identifying areas for further evidence gathering and possible intervention.
Consultation responses are due by 5 p.m. on November 13, 2026, with a final designation decision due by February 13, 2027. The proposal is not a final designation or a finding of wrongdoing.
Designation and intervention are separate stages
The proposed status concerns Microsoft’s position within the relevant digital activity. The accompanying roadmap describes potential future work if designation occurs.
It should therefore not be reported as a set of new obligations already imposed on Microsoft.
The distinction matters for customers negotiating contracts now. A possible regulatory intervention may be relevant to planning, but it is not a substitute for protection in the agreement being signed.
Why customer evidence matters
Business customers can offer concrete information about purchasing decisions, integration needs and the practical difficulties of changing suppliers.
A useful submission would distinguish contractual restrictions from technical dependencies and internal implementation costs. Those factors may all affect switching, but they are different mechanisms requiring different evidence.
Counsel can help organize that evidence without assuming that every commercial difficulty establishes a competition-law concern.
The CMA has also provided instructions for identifying confidential material and supplying publishable versions of responses.
What Canadian technology counsel should examine
The proceeding concerns the UK regime. It does not automatically change Canadian contracts or regulatory obligations.
For Canadian businesses with UK operations, however, it offers an opportunity to assess how long-term software arrangements handle change.
Relevant questions include renewal terms, migration assistance, data portability, integration dependencies and flexibility when organizational needs evolve.
The regulatory process may eventually affect the competitive environment. Contract review must still address the customer’s present circumstances.
A proposed designation signals regulatory scrutiny. The consultation is where customers can turn operational experience into evidence.
