Private equity is investing in the infrastructure behind a major US law firm. The resulting governance question is harder than identifying who owns the shares.
Wood Smith Henning & Berman announced on October 19 that Charlesbank Capital Partners has invested in WSHB Support Services, a newly formed management services organization providing non-legal operational support to the firm.
WSHB has more than 550 lawyers across 43 offices in 23 states. The announcement says the legal practice will remain independent, with lawyers retaining sole authority over legal work and client matters. Charlesbank: WSHB support-services investment announcement.
Financial terms were not disclosed. The stated investment priorities include expansion, technology, artificial intelligence and data science. The disclosed transaction concerns the support business, rather than a direct equity investment in the legal practice. reuters.com
The governance question sits in the operating arrangements
Separating professional services from business support creates distinct entities. The practical test is how decisions move between them.
Technology budgets, staffing systems, procurement and access to information can affect how lawyers serve clients. An agreement preserving professional independence therefore needs operational detail: who decides, who can object and what happens when commercial objectives conflict with professional responsibilities?
WSHB’s announcement identifies overlapping leadership. Its management committee will continue to lead the firm, and its four members will also join the support company’s board. Charlesbank: WSHB support-services investment announcement.
That arrangement makes the allocation of responsibilities particularly relevant. Shared leadership can facilitate coordination, but the governing documents must still address competing obligations.
What Canadian firm leaders should examine
For Canadian lawyers assessing comparable structures, the useful questions include:
- Who controls decisions affecting client service and professional judgment?
- What access does the support business receive to confidential information?
- Can the practice reject a technology or operating policy?
- What happens if the service relationship ends?
The announcement does not establish that these safeguards are inadequate. It makes their design central to understanding the transaction.
Outside capital can finance infrastructure that a partnership would otherwise fund itself. Whether that produces better service will depend on execution, incentives and the arrangements protecting the practice.
Professional independence must work in the operating agreement as well as the announcement.
